1. Acceptance of these terms
By accessing https://www.lawfirminnovation.org (the "Site") or downloading any resource we make available, you agree to these Terms of Use. If you do not agree with them, please do not use the Site.
2. About the Foundation
The Law Firm Innovation Foundation is a Nevada nonprofit corporation recognized by the IRS as a 501(c)(3) tax-exempt organization (EIN 42-2464496). Its charitable purpose is educational: producing and distributing, free of charge, practical business and operations education for attorneys and law students.
3. Our resources are free
Every guide, template, and training resource published by the Foundation is provided at no cost. We will never ask you to pay for access, and we do not operate a paid membership or coaching program. If someone is charging you for material attributed to the Foundation, it is not authorized by us.
4. How you may use our materials
You may download our resources and use and adapt them within your own law firm or legal organization, including editing SOP templates to match your own workflows. That is exactly what they are for.
You may not:
- Sell, license, or otherwise commercially distribute our materials, whether in original or modified form;
- Republish them publicly as your own work or remove attribution to the Foundation from materials you redistribute;
- Use our name, logo, or brand in a way that suggests the Foundation endorses you, your firm, or your products or services without our written permission;
- Use the Site or its resources for any unlawful purpose, or in any way that could damage, disable, or impair the Site or interfere with anyone else's use of it;
- Attempt to gain unauthorized access to the Site, its server, or any connected system, or use automated tools to scrape or harvest content or contact information.
5. Intellectual property
Except where otherwise stated, all content on this Site, including text, graphics, logos, and downloadable resources, is owned by the Foundation or its licensors and is protected by copyright and trademark law. The rights granted to you in section 4 are the only rights granted; all others are reserved.
6. Contact form and submissions
When you send us a message, you confirm that the information you provide is accurate and that you are not submitting confidential or privileged client information. Please do not send us details of any legal matter. Messages sent through this Site are not confidential and are not protected by the attorney-client privilege. Information you submit is handled as described in our Privacy Policy.
If you send us ideas, feedback, or suggested content, you grant the Foundation a non-exclusive, royalty-free right to use them in furtherance of its charitable purpose, without obligation to you.
7. Third-party links and tools
Our materials may mention or link to third-party software, vendors, or websites. Those references are provided for educational purposes only and are not endorsements. We receive no compensation for mentioning them, and we are not responsible for their content, products, pricing, or practices. Evaluate any vendor yourself before relying on it.
8. Disclaimer of warranties
The Site and all resources are provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that the information it contains is complete, current, or applicable to your jurisdiction.
9. Limitation of liability
To the fullest extent permitted by law, the Foundation and its directors, officers, volunteers, and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of the Site or of any resource obtained through it, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless the Foundation and its directors, officers, volunteers, and contributors from any claim or demand, including reasonable legal fees, arising out of your breach of these Terms or your misuse of the Site or its resources.
11. Governing law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising out of them will be brought exclusively in the state or federal courts located in Nevada, and you consent to the jurisdiction of those courts.
12. Changes to these terms
We may revise these Terms from time to time. The revised version takes effect when it is posted, and the "Last updated" date above will change. Continuing to use the Site after that means you accept the revised Terms.
13. Severability
If any provision of these Terms is held to be unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will stay in full force.
